Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Lifsys, Inc. ("Lifsys," "we," "us," or "our") governing your access to and use of the lifsys.com website and all related services, applications, and platforms (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.

Lifsys provides AI-powered automation solutions, including but not limited to:

• AI voice telephony and communication services
• Autonomous AI agent fleet for business operations
• Data engineering and automation platform
• Business process automation and optimization
• Consulting and implementation services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit any harmful, threatening, abusive, or otherwise objectionable content
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services to send unsolicited communications (spam)
• Use automated means to access the Services without our express permission
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Services in any manner that could damage, disable, overburden, or impair them

All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, images, audio, video, software, and code — are the exclusive property of Lifsys, Inc. or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. This license does not include the right to:

• Modify or copy the Services or any content therein
• Use any data mining, robots, or similar data gathering methods
• Reproduce, duplicate, sell, or exploit any portion of the Services without express written permission

You may submit, upload, or transmit content through our Services ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Lifsys a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

Our Services may generate content, recommendations, or actions using artificial intelligence ("AI Outputs"). You acknowledge and agree that:

• AI Outputs are provided "as is" and may not always be accurate, complete, or appropriate
• You are responsible for reviewing, validating, and determining the suitability of any AI Outputs before relying on them
• Lifsys does not guarantee the accuracy, reliability, or fitness for a particular purpose of any AI Output
• You should not use AI Outputs as a substitute for professional advice (legal, medical, financial, or otherwise)

Certain Services may require payment. If you purchase a paid plan or service:

• You agree to pay all fees associated with the plan or service you select
• Fees are non-refundable except as expressly stated or required by law
• We may change our fees upon 30 days' notice; continued use constitutes acceptance of updated fees
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of your access to paid Services

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party in connection with the Services. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LIFSYS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIFSYS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

LIFSYS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LIFSYS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Lifsys and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and associated data
• Sections that by their nature should survive termination will survive (including intellectual property, disclaimers, limitation of liability, and indemnification)

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lifsys regarding the Services.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: Lifsys shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
